The terms under which Alya Books provides the platform to registered users.
Version 1.0 · Last updated 24 September 2026
Draft for legal review. This document has been prepared to reflect how Alya Books works and the requirements of UAE law, but it has not yet been reviewed by counsel. Placeholders appear in double brackets.
01 · Applicable terms
These Terms of Service ("Terms") govern the use of the Alya Books platform, the website at alyabooks.ai, the web application, the public API, the MCP server and the command-line tool (together the "Platform"), provided by Alya Nexus Auditing, [[licence number]], [[registered address]], Dubai, United Arab Emirates ("Alya Books", "we"). By registering an account or using the Platform, the user ("User", "you") accepts these Terms. Terms of the User that deviate from these Terms apply only if Alya Books has agreed to them in writing.
The Privacy Policy, the Data Processing Agreement and the Service Level Agreement form part of the contract. In the event of conflict, an individually negotiated agreement prevails, then the SLA, then the DPA, then these Terms.
02 · Subject matter
Alya Books provides software as a service for creating, validating, submitting, receiving and managing electronic invoices under the UAE e-invoicing system (PINT AE), including submission through an Accredited Service Provider ("ASP") to the Federal Tax Authority ("FTA"), incoming invoice processing, VAT worksheets, accounting exports, integrations, payment links and bank feeds, as described on the website and in the documentation at the time of the order.
Alya Books is not the ASP. Transmission over the Peppol network and reporting to the FTA are performed by the ASP named in the application (currently Taxilla). Alya Books is not the FTA and does not give tax advice. The User remains responsible for the correctness and completeness of the data in its documents and for its own tax obligations.
03 · Registration and accounts
- Use of the Platform requires registration with a valid email address. The User must keep its credentials confidential and inform Alya Books without delay of any unauthorised use.
- The Platform is offered to businesses, professionals and public entities only, not to consumers. The User confirms that it acts in the course of a trade or profession.
- The User creates one or more organizations and invites members with roles. The User is responsible for the actions of its members and for the accuracy of the organization data, in particular the Tax Registration Number, trade licence details and Peppol ID.
- Alya Books may refuse or close registrations that violate these Terms or applicable law.
04 · Plans, credits and further services
- The Platform is offered in the plans shown on the pricing page. Each plan includes a monthly number of invoice credits (consumed when a document is issued) and submission credits (consumed when a document is submitted to the live ASP). Unused credits do not carry over. Documents created in Test (simulated) mode consume no credits.
- Additional credits, onboarding, training and custom integrations are offered on request and, where agreed, invoiced separately.
- Alya Books may change the features of a plan with reasonable notice provided the essential functionality is retained.
05 · Term and termination
- Paid plans run month to month and renew automatically until cancelled in the application (Settings → Subscription) with effect from the end of the current month. The free Starter plan may be used without time limit and terminated at any time by deleting the account.
- Either party may terminate for cause without notice. Cause includes, for Alya Books, repeated non-payment, misuse of the Platform, or use for unlawful purposes.
- After termination the User may export its data for [[30]] days; thereafter Alya Books deletes it in accordance with the DPA, except where retention is required by law.
06 · Fees
- Fees are stated in UAE dirhams (AED) per month and exclude VAT at the applicable rate. Fees are due in advance and paid by the payment method on file.
- Alya Books may adjust fees with at least [[30]] days' notice to the end of a month; the User may terminate with effect from the date the adjustment takes effect.
- If payment fails, Alya Books may restrict the account to read-only after reminder until the outstanding amount is settled.
07 · Obligations of the User
- Enter correct and complete data, in particular TRNs, VAT categories, amounts and the emirate of supply, and review validation messages before submission.
- Use the Platform only for lawful purposes and only for the User's own business or, for CA firms, for clients that have authorised the User.
- Obtain the buyer's agreement for self-billed documents where the law requires it.
- Keep API keys, webhook secrets and gateway credentials confidential; rotate them if compromised.
- Not attempt to circumvent access controls, overload the Platform or reverse-engineer it beyond what the law permits.
- Comply with the terms of connected third-party services (accounting systems, payment gateways, bank data providers).
08 · Rights of Alya Books
- Alya Books retains all rights in the Platform. The User receives a non-exclusive, non-transferable right to use the Platform for the term of the contract.
- Alya Books may suspend access in whole or in part where necessary to protect the Platform, other users or third parties, and will inform the User where possible.
- Alya Books may use aggregated, anonymised usage data to improve the Platform.
- Alya Books may name the User as a customer only with the User's prior consent.
09 · Liability
- Alya Books is liable without limitation for intent, gross negligence and where liability cannot be limited under UAE law.
- For slight negligence Alya Books is liable only for breach of essential contractual obligations and limited to the foreseeable damage typical for this kind of contract, and in aggregate to the fees paid by the User in the twelve months preceding the event.
- Alya Books is not liable for the acts and omissions of the ASP, the FTA, payment gateways, bank data providers or accounting systems, nor for the consequences of incorrect data entered by the User, nor for indirect damage or loss of profit, subject to clause 9.1.
- The User is responsible for backing up data exported from the Platform where it relies on such exports.
10 · User data and indemnity
The User retains all rights in the data it enters. The User grants Alya Books the rights needed to provide the Platform, including transmission to the ASP, the FTA, buyers and connected services at the User's instruction. The User indemnifies Alya Books against third-party claims arising from the User's data or its use of the Platform in breach of these Terms or the law.
11 · Availability
Availability, support and maintenance are described in the Service Level Agreement. Alya Books performs maintenance where possible outside UAE business hours and announces planned downtime in advance.
12 · Governing law and jurisdiction
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai [[or: the DIFC Courts]] have exclusive jurisdiction, without prejudice to mandatory provisions of law.
13 · Final provisions
Amendments to these Terms are communicated in the application or by email at least [[30]] days before they take effect; continued use after that date constitutes acceptance. If a provision is invalid, the remainder stays in force. The English version prevails over any translation.
